Non-Compete/Confidentiality Agreement

Non-disclosure and Non-competition.
(a) At all times while this agreement is in force and after its expiration or termination, I agree to refrain from disclosing Essential Healthcare Services client lists, employee lists, trade secrets, or other confidential material. Caregiver agrees to take reasonable security measures to prevent accidental disclosure and industrial espionage.
(b) While this agreement is in force, the employee agrees to use [his/her] best efforts to abide by the nondisclosure and noncompetition terms of this agreement.
After expiration or termination of this agreement, Independent Contractor/Caregiver agrees not to compete with Essential Healthcare Services dba Essential Staffing Services for a period of 3 years within a 100-mile radius Essential Healthcare Services. This prohibition will not apply if this agreement is terminated voluntarily in writing by “Essential Services”.
Competition means owning soliciting or accepting employment by, or rendering professional services to, any person or organization that is of the following type: Homemaker/Companion Service, Healthcare Services Pool and Home Health Agency or private clients in the same capacity.
The above mentioned also agrees to return all marketing material, including brochures, contracts and any other material relating to “Essential Services.”
